Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Sutro platform, including our website, software, APIs, hosted services, enterprise deployments, and related offerings (collectively, the “Services”), provided by Skysight Inc., doing business as Sutro (“Sutro,” “we,” “our,” or “us”).

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “Customer” or “you” refers to that organization.

1. The Services

Sutro provides software and infrastructure for designing, evaluating, optimizing, deploying, and operating AI-powered functions, decision systems, and related workflows.

The Services may include AI inference, automated optimization, evaluation and benchmarking, annotation and review workflows, model routing and orchestration, confidence estimation, monitoring, APIs, enterprise deployments, and other capabilities made available from time to time.

The Services may evolve over time. We may introduce, modify, suspend, or discontinue features as part of the ongoing development and operation of the platform.

The Services may be provided as a hosted service, within infrastructure controlled by Customer, or through other deployment models agreed by the parties.

2. Definitions

Customer Data means any information submitted to or processed by the Services on behalf of Customer, including datasets, documents, files, prompts, schemas, annotations, metadata, and other content.

Customer Assets means workflows, prompts, evaluation datasets, annotation sets, schemas, policies, configurations, and other assets created or configured specifically for Customer through use of the Services.

Outputs means classifications, predictions, extractions, embeddings, scores, generated content, or other results produced by the Services for Customer.

Usage Data means technical and operational telemetry relating to Customer’s use of the Services, including API activity, latency, diagnostics, feature utilization, and similar operational information.

Platform Data means technical and operational information generated by the Services regarding their operation, performance, reliability, security, and effectiveness, including system telemetry, optimization performance metrics, diagnostics, and operational insights. Platform Data does not include Customer Data, Customer Assets, or Outputs in their original or substantially similar form and may not reasonably be used to identify or reconstruct them.

3. Customer Ownership

Customer retains all right, title, and interest in Customer Data, Customer Assets, and Outputs.

Nothing in these Terms transfers ownership of Customer Data, Customer Assets, or Outputs to Sutro.

Customer represents and warrants that it has all rights necessary to provide Customer Data to Sutro and authorize its processing in accordance with these Terms.

4. Operation of the Services

Customer authorizes Sutro to process Customer Data as necessary to provide the Services requested by Customer.

Such processing may include storing, transmitting, evaluating, transforming, and analyzing Customer Data; executing AI inference; optimizing Customer-specific workflows; generating Outputs; performing annotation and review workflows; monitoring system performance; estimating confidence; detecting failures; providing customer support; maintaining platform security and reliability; and complying with applicable law.

Where the Services are deployed within infrastructure controlled by Customer, Sutro will process Customer Data only to the extent permitted by the deployment architecture, Customer configuration, and applicable agreements.

5. Operation and Improvement of the Services

Sutro continually develops and improves the operation, reliability, security, performance, and effectiveness of the Services.

Accordingly, Customer authorizes Sutro to:

  • process Customer Data as necessary to provide the Services;
  • operate and optimize Customer-specific workflows and configurations;
  • generate Platform Data through operation of the Services; and
  • use Platform Data to operate, maintain, secure, support, optimize, and improve the Services, including their optimization algorithms, evaluation methodologies, orchestration systems, platform software, and related technologies.

For clarity, Platform Data reflects information generated through operation of the Services and does not include Customer Data, Customer Assets, or Outputs in their original or substantially similar form.

Sutro may publish statistics, analyses, and performance reports derived from Platform Data, provided they do not identify Customer or disclose Customer Data, Customer Assets, Outputs, or other Customer Confidential Information.

Sutro will not disclose Customer Data, Customer Assets, or Outputs to other customers except as authorized by Customer or required by applicable law.

Except as expressly authorized by Customer or agreed in writing, Sutro will not use Customer Data to train general-purpose foundation models.

Nothing in this Section transfers ownership of Customer Data, Customer Assets, Outputs, or Customer Confidential Information to Sutro.

6. Intellectual Property

Except for Customer Data, Customer Assets, and Outputs, Sutro retains all right, title, and interest in and to the Services, including all software, APIs, documentation, optimization algorithms, evaluation methodologies, orchestration systems, user interfaces, trademarks, and other technology comprising the Services.

These Terms grant Customer only the limited rights necessary to access and use the Services.

7. AI Processing

Customer acknowledges that the Services may automatically optimize prompts and task definitions, evaluate model behavior, compare alternative outputs, route requests across one or more AI models, estimate confidence, generate annotations, improve Customer-specific workflows, and otherwise process Customer Data as necessary to provide the requested Services.

Outputs generated by AI systems are probabilistic and may contain inaccuracies.

Customer remains responsible for determining whether Outputs are appropriate for Customer’s intended use and for ensuring any human oversight required by applicable law or Customer policy.

8. Self-Hosted Deployments

Certain Services may be deployed within infrastructure controlled by Customer.

In such deployments:

  • Customer remains responsible for infrastructure, access controls, backups, and security unless otherwise agreed.
  • Certain hosted capabilities may operate differently or be unavailable.
  • Sutro’s visibility into Customer Data may be limited by the deployment architecture.
  • Collection of Usage Data may vary depending on Customer configuration.
  • Any applicable Order Form or Enterprise Agreement controls to the extent it conflicts with these Terms.

9. Accounts

Customer is responsible for maintaining the confidentiality of account credentials, all activities occurring under Customer accounts, and ensuring authorized users comply with these Terms.

Customer must promptly notify Sutro of any unauthorized access to or suspected compromise of its accounts.

10. Acceptable Use

Customer shall not:

  • violate applicable law;
  • interfere with the operation or security of the Services;
  • gain unauthorized access to the Services;
  • distribute malware or other malicious software;
  • misuse credentials or impersonate others;
  • infringe intellectual property rights;
  • overload or abuse the Services in a manner that materially disrupts other users; or
  • attempt to circumvent security measures.

11. Fees

Customer agrees to pay applicable fees described in the applicable pricing, Order Form, Enterprise Agreement, or other commercial agreement governing the Services.

Failure to pay applicable fees may result in suspension or termination of access.

12. Beta Features

Sutro may offer preview, beta, experimental, or early-access features from time to time.

Such features are provided “AS IS,” may be modified or discontinued at any time, and may not be supported to the same extent as generally available Services.

13. Confidentiality

Each party agrees to protect the Confidential Information of the other party using reasonable care and to use such information solely for purposes of performing under these Terms.

14. Feedback

If Customer voluntarily provides suggestions, ideas, enhancement requests, or other feedback regarding the Services, Customer grants Sutro a worldwide, perpetual, irrevocable, royalty-free license to use such feedback without restriction or obligation.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUTRO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUTRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUTRO’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO SUTRO DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

17. Suspension and Termination

Sutro may suspend or terminate access to the Services where reasonably necessary to:

  • protect the Services;
  • investigate suspected abuse;
  • comply with applicable law;
  • address security incidents; or
  • collect unpaid fees.

Upon termination, Customer may retrieve Customer Data in accordance with the applicable retention policies, Order Form, or Enterprise Agreement.

18. Changes to these Terms

We may update these Terms from time to time to reflect changes to the Services, applicable law, or our business practices.

If we make material changes, we will provide reasonable notice through the Services, by email, or by another reasonable means.

Continued use of the Services after the effective date of the updated Terms constitutes acceptance of those Terms.

19. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles.

20. Entire Agreement

These Terms, together with any applicable Order Form, Enterprise Agreement, Data Processing Addendum, or other written agreement between the parties, constitute the entire agreement governing the Services and supersede all prior agreements relating to the same subject matter. In the event of a conflict between these Terms and an executed Order Form, Enterprise Agreement, or Data Processing Addendum, the latter shall control to the extent of the conflict.
